Recommended arbitration clauses

ICC recommends the following clauses for all those who want to agree on arbitration in case a dispute arises:

German: "Alle Streitigkeiten, die sich aus oder im Zusammenhang mit dem vorliegenden Vertrag ergeben, werden nach der Schiedsgerichtsordnung der Internationalen Handelskammer (ICC) von einem oder mehreren gemäß dieser Ordnung ernannten Schiedsrichtern endgültig entschieden."

English: “All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.”

 

If the parties do not want the Emergency Arbitrator Provisions of the 2012 Rules (see the page explaining the Emergency Arbitrators Provisions) to apply, they must expressly opt out by using the following arbitration clause:

 

German: "Die Bestimmungen zum Eilschiedsrichterverfahren finden keine Anwendung." 

English: “All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The Emergency Arbitrator Provisions shall not apply.”

 

Expedited Arbitration

The ICC Arbitration Rules provide for use of an expedited procedure in lower-value cases. If parties wish to exclude the application of the Expedited Procedure Provisions, they must expressly opt out by adding the following wording to the clause above:

 

German: „Die Regelungen für das beschleunigte Verfahren sind nicht anzuwenden.“
English: "The Expedited Procedute Provisions shall not apply."

 

Parties wishing to avail themselves of the expedited procedure in higher-value cases should expressly opt in by adding the following wording to the clause above:

 

German: „Die Parteien vereinbaren gemäß Artikel 30(2)(b) der Schiedsgerichtsordnung der Internationalen Handelskammer (ICC), dass die Regelungen über das beschleunigte Verfahren jedenfalls zur Anwendung kommen sollen unabhängig vom Streitwert.“

English: "The parties agree, pursuant to Article 30(2)(b) of the Rules of Arbitration of the International Chamber of Commerce, that the Expedited Procedure Rules shall apply irrespective of the amount in dispute."

 

If parties wish the ceiling for the the application of the Expedited Procedure Rules to be higher than that specified in those Rules, the following wording should be added to the clause above:

 

German: „Die Parteien vereinbaren gemäß Artikel 30(2)(b) der Schiedsgerichtsordnung der Internationalen Handelskammer (ICC), dass die Regelungen über das beschleunigte Verfahren zur Anwendung kommen sollen, sofern der Streitwert US$ ….. nicht überschreitet zum Zeitpunkt der Kommunikation gemäß Artikel 1(3) der Regelungen über das beschleunigte Verfahren.“

English: "The parties agree, pursuant to Article 30(2)(b) of the Rules of Arbitration of the International Chamber of Commerce, that the Expedited Procedure Rules shall apply, povided the amount in dispute does not exceed US$ [specify amount] at the time of the communication referred to in Article 1(3) of the Expedited Procedure Rules."

 

Arbitration clauses under Austria Law

If the underlying contract is subject to Austrian law, it is important to ensure that the signatories hold appropriate powers and authorities as defined by § 1008 ABGB enabling them to effectively conclude an arbitration agreement, i.e. they have to be directors, proxy holders, are generally empowered or authorized in accordance with § 54 Abs 1 UGB or they have received a distinct power of attorney (so-called Spezialvollmacht) for the signature of the arbitration agreement.


ICC - combined mediation and arbitration clause
„In the event of any dispute arising out of or in connection with the present contract, the parties agree to submit the matter to settlement proceedings under the ICC ADR Rules. If the dispute has not been settled pursuant to the said Rules within 45 days following the filing of a Request for ADR or within such other period as the parties may agree in writing, such dispute shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules of Arbitration."

French:
"Tous différends découlant du présent contrat ou en relation avec celui-ci seront tranchés définitivement suivant le Règlement d’arbitrage de la  chambre de commerce internationale par un ou plusieurs arbitres nommés conformément à ce Règlement."

 

Arbitrage CCI sans arbitre d’urgence

"Les Dispositions relatives à l’arbitre d’urgence ne s’appliqueront pas."


Italian:
"Tutte le controversie derivanti dal presente contratto o in relazione con lo stesso saranno risolte in via definitiva secondo il Regolamento d’arbitrato della Camera di Commercio Internazionale, da uno o più arbitri nominati in conformità di detto Regolamento."

 

L’arbitrato della CCI senza arbitro d’urgenza

"Le Disposizioni relative all’arbitro d’urgenza non saranno applicabili."


Spanish:
"Todas las controversias que deriven del presente contrato o que guarden relación con éste serán resueltas definitivamente de acuerdo con el Reglamento de Arbitraje de la Cámara de Comercio Internacional por uno o más árbitros nombrados conforme a este Reglamento."

 

Arbitraje de la CCI sin arbitro de emergencia

"Las Disposiciones sobre el Árbitro de Emergencia no serán aplicables."


Recommended arbitration clause for China:
"All disputes arising out of or in connection with the present contract shall be submitted to the International Court of Arbitration of the International Chamber of Commerce and shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules."

The parties should agree in their clause further, on the place of arbitration, the language of arbitration, the number of arbitrators and if possible the substantive applicable law. Using the ICC arbitration rules will not limit the parties‘ free choice on the place of arbitration, language or applicable law.
